1. Acceptance of Terms

By signing up for or using Repply ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including businesses, individuals, and any party acting on behalf of a business.

2. Description of Service

Repply is a software-as-a-service platform that uses artificial intelligence to assist local businesses in managing their Google Business Profile. This includes generating draft posts, drafting review responses, and displaying analytics data sourced from Google Business Profile through authorized third-party integrations.

3. AI-Generated Content Disclaimer

All content generated by Repply — including Google Business posts, review responses, and any other text — is produced by artificial intelligence and is provided as a draft for your review. You are solely responsible for reviewing, editing, and approving all AI-generated content before it is published.

Repply makes no representations or warranties that AI-generated content is accurate, appropriate, compliant with Google's policies, or suitable for your specific business. You assume full responsibility for any content published to your Google Business Profile through the Service.

4. Limitation of Liability

To the maximum extent permitted by applicable law, Repply and its owners, officers, employees, and agents shall not be liable for:

• Any business losses, loss of revenue, loss of customers, or reputational harm arising from the use of AI-generated content
• Any action taken by Google, including suspension, removal, or penalization of your Google Business Profile
• Negative reviews, customer complaints, or public backlash resulting from content published through the Service
• Any inaccurate, offensive, or inappropriate content generated by the AI that was approved and published by you
• Any interruption, downtime, or failure of the Service
• Any third-party actions or platform policy changes affecting your business

In no event shall Repply's total liability to you exceed the total amount paid by you to Repply in the three (3) months preceding the claim.

5. Your Responsibilities

You agree to:

• Review all AI-generated content before approving it for publication
• Ensure all published content complies with Google's policies and applicable laws
• Provide accurate business information and keep it up to date
• Not use the Service to publish false, misleading, defamatory, or illegal content
• Maintain the security of your account credentials

6. Subscription and Billing

Repply is offered on a monthly subscription basis. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel. You may cancel your subscription at any time through your billing dashboard. Cancellation takes effect at the end of the current billing period — no partial refunds are issued. Repply reserves the right to change pricing with 30 days' advance notice.

7. Intellectual Property

You retain ownership of your business data, including your business name, services, and any content you provide. You grant Repply a limited license to use this information solely to provide the Service. AI-generated drafts produced by the Service are provided to you for use at your discretion.

8. Termination

Repply reserves the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or use the Service in a manner harmful to others. You may terminate your account at any time by cancelling your subscription and contacting us.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Repply does not warrant that the Service will be uninterrupted, error-free, or that results obtained through the Service will be accurate or reliable.

10. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Georgia.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the revised Terms.
